Welcome to Roga Platforms Inc. (the “Platforms”).

These terms of use (the “Terms”) and all our other policies (visit all our policies) govern the relationship between the Platforms and its users. As soon as you create an account on this Platforms, you will automatically be subjected to the Terms and all our other policies. It should constitute entire agreement between you and the Platform and should supersede all other understandings, agreements and negotiations. Such agreement should automatically terminate upon your account getting deleted for any reason whatsoever.

The Service

The Platform is a social media platform that includes many features, products, services, applications, software and technologies just to name these few. The Platform services may include but not limited to:

Use of the Platform

You must be [+18] years old or older to use this Platform.
You should abide by all the Platform’s policies and community rules.
You should not use this Platform in an unauthorized manner. It should entitle the Platform to claim damages that occur as a result of you using the Platform in such manner.
You should not post any content on the Platform that incites hate within the community.
You should not restrict any other visitor from using this Platform in any manner whatsoever.
You should not transmit any software or materials that may cause any harm whatsoever to this Platform. These materials may include Trojan horses, viruses and other related cyber defects.
You should not engage in any activity intended to gather information from this Platform in an unlawful manner. This includes flooding, spamming and phishing.
You should conduct yourself cordially while using this Platform and ensure that no abusive language is being used.
You should not interfere with the functioning of the Platform in any manner whatsoever.
You should be entirely responsible for all activities that take place under your account on the Platform. You should also be responsible for the security of your login details and passwords.
You should be solely responsible for any content that you post or display on the Platform. This includes but is not limited to graphics, texts, visuals, videos and audios.
You should not impersonate any other individual. All information provided to the Platform should be accurate and up to date, which may include, but is not limited to personal data.
You should not infringe upon intellectual property rights of any other user, which includes but is not limited to trademark, copyrights and patents. If we identify any such infringement, we should report you to the appropriate authorities and remove such content from the Platform forthwith.
You represent and warrant that by using this Platform, you are not in violation or breach of any laws of any jurisdiction.

Changes

We should be entitled to make changes to functionality and outlook of the Platform without any prior notice. Subsequent to such changes, there may also be a need to change these Terms. The Platform should be entitled to make changes and amendments to the Terms without any prior notice.

Access to website

We should endeavor our best to ensure that the Platform is always available. However, we cannot guarantee that there will be no downtime. The Platform reserves the right to close down its service for any reason whatsoever, that should include but is not limited to maintenance. We should not be liable if the Platform, or any part thereof is unavailable for any length of time.

Errors

We do not guarantee that the Platform is error free. The Platform maybe subject to errors and we do not take any responsibility for the same.

Permissions and rights given to the Platform

By using the Platform, you provide us with the following permissions:

All proprietary and intellectual property rights in the content posted by you on the Platform should be retained by you only. However, you hereby grant us the non-exclusive, transferable and royalty-free license to use such content in any manner whatsoever. You even entitle us to create derivative works of such content.
You hereby grant us the permit to use your account details, which include but is not limited to showing your profile picture and username for advertisement purposes.
The Platform reserves the right to (i) terminate your user account for any reason whatsoever; (ii) refuse to provide any service in Platform for any reason whatsoever; (iii) forfeit any account that becomes inactive or violates the Terms for any reason whatsoever; and (iv) remove any content from the Platform that is in violation of the Terms.

Trademark and copyrights

All the content and information that is made available through the Platform, such as graphics, texts, button icons, logos, images, audio clips, data compilations, digital downloads and the software is the sole property of the Platform. The same is also copyrighted and trademarked under the relevant applicable laws. You agree that all intellectual property rights and proprietary rights vests solely in the Platform.

Review and communications

You may post comments, videos, photos, give suggestions or provide any information of any kind as long as it is not illegal, threatening, obscene, defamatory, invasive of privacy or infringing the intellectual property rights of any party. It should not be any sort of spam, or the content should not contain any sort of virus. Furthermore, you may not impersonate any other entity or person or mislead any other person in any manner whatsoever.

Indemnity

You will indemnify and hold the Platform harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out your breach of these terms and conditions or your improper use of the services, or breach of any other law or breach of any other third party rights.

Dispute and applicable governing law

Any dispute or claim that arises out of or is in connection with the use of the Platform should be adjudicated by the courts of [insert that courts will govern] and you consent to such exclusive jurisdiction and venue in these courts. These Terms should be governed by the laws of Hebland.

Additional terms

A waiver of any provision of these Terms or of any breach thereof should not be deemed a waiver of any repetition of such breach or a waiver of compliance with a term or condition or in any way affect any other terms or conditions hereof.

The failure of the Platform to enforce any of the provisions of these Terms should not be construed to be a waiver of such provisions nor of the right of the Platform thereafter to enforce each and every such provision.

These Terms and all of its provisions are binding on and insure to your benefit of but neither these Terms nor any of the rights, interests, or obligations hereunder may be assigned to any other person.

In case any provision in these Terms is rendered invalid, illegal or unenforceable for any reason whatsoever, the validity, legality and enforceability of the remaining provisions should not in any way be affected or impaired thereby.

Commerce Policy

Roga Platforms Inc, or simply “Rogachat “(the “Platform”) has an inclusive commerce policy. However, if you want to use the commercial space for your business to grow, then your account must be eligible for the same.

Eligibility criteria

Your account should be compliant with all policies of the Platform. This expressly includes, but is not limited to, Terms of Use, Privacy Policy, Cookie Policy and Community Standards. Lack of compliance with any of our policies may result in deactivation of your account.

If you want to use your account for selling products and services, then the product listings that are posted on your account should be available for purchase on your website.
It is essential that you can demonstrate to trustworthiness to us if you want to sell services or products through our Platform. Your professional account should be able to show authenticity, trustworthiness and digital presence. We reserve the right to ask you for the follower base.
It is imperative that you provide up to date and accurate information to potential customers and not misrepresent them in any way whatsoever. You may lose access to all features of the Platform if you fail to comply with this requirement.

Selling products and services

Products and services offered for sale on the Platform should necessarily comply with the commerce policy. It should also comply with the Community Standards and other relevant policies. This commerce policy is a binding guide that provides different rules regarding the services and products that can be sold on the Platform. All buyers and sellers should ensure that they are fully compliant with the applicable laws and regulations of their jurisdictions.

Any failure to comply with the applicable laws, regulations and the Platform’s policies may result in a variety of consequences. This includes, but is not limited to, deactivation of accounts, delisting of the products and limited access to features of the Platform. In any case, the Platform reserves the right to reject the listing at any point in time, without providing you the reason for doing the same.

However, there is an appeal process within the Platform that you may opt for in the event any negative or penal actions are taken against you. You can contact our team to review our decision. In such an event, we may ask you to review the actions taken by you and if you have made a mistake, we may also ask you to rectify the same.

Prohibited content

The following products and services should not be sold on our Platform:

Community Standards – anything that is in violation of the Community Standards should be prohibited and must not be sold or marketed on the Platform.
Adult products – you must not sell adult products on the Platform. This includes products such as sex toys, images of nudity and products that are made for sexual enhancement.
Alcohol – you must not sell alcohol through the Platform. Kits that are used for making alcohol is also fully prohibited. However, it is clarified that you may sell other products that are related to alcohol such as glasses and books on this subject.
Discrimination – we have a strict policy against discrimination. The sellers should not discriminate against any purchase for any reason whatsoever. Giving a preference to certain group of purchasers based on their sex, gender, age, sexual orientation, religion, marital status or disability, is strictly disallowed and discouraged. Listings that include tags that limit the market are prohibited.
Financial instruments – listing that include financial instruments are strictly disallowed. Such products include but is not limited to currency notes (either fake or real), digital currency, in game currency, credit or debit cards (either active or inactive), cheque books and other kinds of financial services such as loans and insurance policies.
Exploitation services – these services are not only against the commerce policy but also in violation of applicable laws. You must not market services such as people for sale, escort agencies, shows that are for adult entertainment, dating services, personnel services and pornography.
Job opportunities – you cannot promote job services and opportunities.
Gambling – gambling is a regulated industry that is gradually getting traction on the digital space. However, we have a strict policy against selling gambling services on the Platform. You must not sell or facilitate the sale of gambling services. This includes, but is not limited to, betting, lotteries, bingo, casino games and poker.
Prescription products – you must not promote or sell prescription products. This includes drugs, which are either for medicinal purposes or recreational purposes. Prescription drugs are fully prohibited, and you must not engage in sale of the same.
Weapons – Although you may engage in the activity of promoting acquiring safety training for weapons, it is fully prohibited to sell weapons, ammunitions and explosives that includes but is not limited to guns, pepper spray, knives, firearms and even paintball guns.
Stolen goods – you must not list any item that is stolen. This may even amount to criminal offence.
Products that infringe upon rights of others – you may not sell or promote products that infringe upon rights of third parties. This includes but is not limited to intellectual property rights such as copyrights and trademarks. Counterfeits of branded products and pirated CDs and DVDs are examples of such products.

ROGACHAT DISCLAIMER

The Platform, its services and information in connection thereto provided to you, are provided on an as-is and where-is basis without any warranties or representations, express, implied or statutory, including but not limited to, warranties of quality, performance, non-infringement, merchantability or fitness for a particular purpose.
EXCEPT AS EXPRESSLY SET FORTH HEREIN, TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, REGARDING THE PLATFORM, THE API, OR SERVICES, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF SATISFACTORY QUALITY OR RESULTS, OR FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. You acknowledge that the operation of the Platform may from time to time encounter technical or other problems and may not necessarily continue uninterrupted or without technical or other errors and the Platform should not be responsible to you for any such interruptions, errors, or problems or an outright discontinuance of the Platform nor for any guarantee of results with respect to the services on the Platform.
Roga Platforms Inc., its affiliates or related entities, and their successors and assigns, and their directors, employees, agents and officers, are not liable for any errors or omissions on the Platform, or for any loss or damages suffered as a result of anything that appears on the Platform. Any content, data and information, in any form whatsoever, that is provided on the Platform are current as of the date indicated and should be subject to change without any prior notice.
We disclaim any and all liability for the damages that any person may incur as a result of you posting anything on the Platform. We accept no responsibility for the information and opinions posted on the Platform by the users. In no event, we should be liable for any action taken by the users as a result of relying on such information.
We should not be liable for any loss, damage or injury caused to you as a result of using this Platform in any manner whatsoever.
In no event whatsoever, we, our subsidiaries, affiliates, partners, subcontractors, licensors, employees, directors and/or agents be liable to you or any third party for direct, indirect, exemplary, special, consequential, punitive, incidental or any other kind of damages, claims, injuries or losses that arise directly or indirectly from the use of the Platform or any other products or services that are distributed through the Platform, irrespective of whether such damage is due to the result of errors, defects, viruses, interruptions or delays in the delivery of the Platform.

Community Payment Terms

You can use the Platform to make payments if you are 18 years or above. It is important that you review the Community Payment Terms to be aware of the applicable rights and responsibilities.

We reserve the right to change or amend the Community Payment Terms without any prior notice.

Payments

If you are making any payment through the Platform, you should provide valid credentials of the source through that you are making such payment. Once the payment credentials have been added, you will be allowed to conduct a transaction.
For whatever reason you are making the payment, you should pay attention to the specifics of the transaction. The total price may vary from transaction to transaction. The payments may constitute different components, such as base price, shipping costs and taxes.
Your relationship with the transaction should also be governed by the additional terms that you may be subjected to while entering into that transaction. Therefore, before confirming such transaction, make sure you read those terms.
If you are making any donation through our Platform, then you must acknowledge that the donation is being made for charitable purposes and no goods or services will be received against such donation. You should be responsible for consulting with tax professionals to determine the deductions that you may be entitled to.
You hereby agree that all services and products that you purchase through the Platform are sold by merchants and not the Platform. The Platform does not provide any warranty of any kind regarding the services and products you purchase. The Platform should not be liable for any damage that you incur as a result of using such service or product.

Methods of payment

We allow users to conduct transactions through different sources. This includes [BOMA, Rogapay, PayPal and all available forms of payment on the platform.].
As soon as you provide payment credentials to us, you authorize us to use such credentials to charge the amount.
In the event your transaction fails, and such failure results in any fee from the bank, you should solely be responsible for paying such fee. The Platform should not be responsible for the same in any manner whatsoever.
You agree that you may come across applications that may not support the payment methods that you might want to use. In such an event, we recommend opting for a different method of payment.
In the event you think that any problematic or unauthorized transaction has taken place from your account, you should be solely responsible for informing us of the same.
You should inform our team forthwith in case you are facing any technical difficulties with making the payments through the Platform.

Our rights

We reserve the right to decline your payments for any reason whatsoever.
By making any payment, you agree that we should have the right to make enquiries regarding your details from third parties.
To ensure that no financial losses occur, we may directly contact the relevant parties and share details of payment with them, if it is reasonably necessary to ensure that such losses can be avoided or limited.
In the event there is any dispute, you may contact our team to ensure that the same is resolved in time.
In the event we discover any fraudulent activity taken by you through your account, we may take any action to prevent the same and all such actions that we deem fit. This includes but is not limited to suspension and termination of your account.

Community Guidelines

Welcome to Roga Platforms Inc. (the “Platform”). We are excited to have you with us in this community space.

The Platform’s mission is to ensure that we provide our users with a safe space wherein they can communicate with each other, comfortably share their content without being subjected to abuses. To ensure the same, these community guidelines have been put in place so that our users know what will be expected of them within this community.

Guidelines you must follow

We want to cultivate this Platform into a space that is a safe and open environment for every user. This is to ensure that a community has been created that is healthy for all users. By using the Platform, you should automatically be subjected to the Terms of Use and these Community Guidelines. If you are in violation of these guidelines, we should have the absolute right to delete or deactivate your account or place other such restrictions that we deem fit.

We cordially request you comply with the following guidelines:

Our Platform also provides you with the feature to share various types of content. This includes, but is not limited to texts, videos, audios and images. Make sure that the content you share on the Platform is either owned by yourself, or in case you do not have the title to the same, you have the consent to share such content. Also ensure that any content that you post is original and authentic and has not been plagiarized. Violating the same will subject you to relevant intellectual property infringements.
It is important to maintain an atmosphere within the community that is comfortable for all types of audience. You must appreciate that some content might be offensive to certain audience. For instance, sharing nude images or content that incites religious hatred is strictly prohibited and against our community guidelines. Make sure that you do not share any such content.
If you want to have a successful account, it is important that you prefer organic growth. Do not collect artificial likes, comments, shares and other similar engagements. Make sure that you keep the Platform spam free. Do not engage in activities that promote trading of fake reviews or ratings as this may amount to misrepresentation to other users of the Platform.
We have a strict policy for using the Platform for illegal purposes. The Platform must not be used to support terrorism, offer sexual services, sell illegal items such as drugs, or perform any such activities that are against the legal framework. Accounts that are promoting illegal activity will forthwith be banned and be reported to the relevant authority responsible for regulating the same.
It is critically important to ensure that other users of the Platform community are respected at all times. We support a positive community that fosters growth, love and respect. Content that is used to degrade, blackmail, harass or intimidate someone will immediately be removed. It is illegal to encourage hate against someone based on their faith, sex, race or any other feature.
A lot of people might use the Platform to posting important events that might be of national and international importance. However, we will ensure that such content remains appropriate for all the users.
We strictly endorse a non-bullying policy. If you make inflammatory remarks against anyone, we will take strict action against you. Make sure that you are always tolerant towards the views and opinions of other people. Also ensure that you also respect the privacy of other users and not infringe the same in any manner whatsoever.

How can we keep the community strong?

Each user of this Platform must play an integral part in ensuring that the community is strong at all times. If you come across something that is in violation of our community guidelines or any other policy in effect, please report the same to us. Our team will ensure that any such violation is dealt with full force and impact. Make sure that you provide us with as much information so that we can ensure compliance with the Community Guidelines.

There will be a lot of content of the Platform that you may not like. However, it is not necessarily the case that the same is in violation of the Community Guidelines. In such cases, you always have the option to block the person.

There might be occurrences when there maybe misunderstandings between the members of the community. You could simply resolve the dispute within yourself before adopting any course of action.

If you come across someone who has infringed upon your copyrights and trademarks, then you may inform us of the same and we will take appropriate action. However, refrain from drawing more attention to the situation since this may attract violations.

If you think that there is a risk to your safety or any user may be detrimental to the public at large, please inform us and we will work with the law enforcement agencies to ensure that such occurrences do not take place.

The bottom line

By using the Platform, you agree to comply with the Community Guidelines in letter and spirit. We are fully entitled to take any action whatsoever if we find that you are violating the Community Guidelines, or any other policy that has been incorporated through the Community Guidelines.

Branded content policy

Branded content

There are various types of content that you can post on the Roga Platforms Inc. (the “Platform”). One of such types is branded content.

Brand content is content that you may post in exchange for something valuable from a third party. For example, you may post something for a particular brand and receive money in exchange. Branded content is primarily uploaded for the purposes of marketing, advertising and branding a certain brand’s services and products.

Such content may include, but is not limited to:

Information that refers to a certain service or product for that you have legally received something in return (gift, money, or the product or service itself).
Service or product, that if sold, the user will receive commission against; and
Being a brand ambassador of a certain brand.

Prohibition on branded content

There are various services, products, goods and brands that cannot be promoted on the Platform. This includes:

Any content that is violative of any policy or terms and conditions of the Platform;
Content that promotes illegal services or products;
Tobacco related products. This may include, but is not limited to cigarettes and vaporizers;
Drug-related products. This may include, but is not limited to recreational drugs and other illegal drugs;
Weapons, explosives and ammunitions. Such weapons may include but is not limited to firearms, knives, batons etc.
Adult products;
Gambling services and products;
Content that is political in nature;
All those products and services that encourage dishonest behavior;
Purchasing and selling of animals, or any part thereof;
Other such services and products that may be held illegal from time to time.
Any service or product that violates any Law of the Hebrews

There are various products that are prohibited depending on local market. You should be fully familiar with local requirements to ensure that brand content is not against local laws.

The creators of the brand content should further ensure that the creator does not accept anything valuable in return for posting content that is not created by them or does not feature them.

Restrictions on branded content

There are various services and products, promotion of that is not completely prohibited but restricted. This includes:

Alcohol – this is not completely prohibited in all countries. It should not be promoted to users that are based in countries where alcohol is banned. In any case, branded content for alcohol should only be promoted to users who are aged eighteen and above (depending on the age limited in varying jurisdictions).
Branded content for financial services such as insurance, credit cards and other financial products must only be targeted towards users who are aged eighteen and above. Such promotion should not be misleading for any reason whatsoever.
Branded content that promotes family planning and contraceptives should only be targeted towards those users who are aged eighteen and above.

Restrictions regarding formats

All users while posting branded content on the Platform should comply with the following restrictions:
